Multi Express End User License Agreement and Legal Information for Multi Express Business & Accounting for Windows 95, Windows 98, and Windows NT

PROGRAM LICENSE

Copyright laws and treaties as well as intellectual property laws and treaties protect the PROGRAM. The PROGRAM is licensed, not sold.

1. End-User.
   By End-User, it is meant that the License is granted to one company name, at one location, for use on one computer only.
   
2. Grant Of License.

You are given the following rights:

• For applications software, you may install and use one copy of the PROGRAM, or any prior version of the PROGRAM on a single computer or a single computer network system.
• You may not, under any circumstances, use the PROGRAM on more than a single computer or a single network system.
• You may make a single copy of the PROGRAM into any computer readable or printed format for the purpose of backup in support of your use of the PROGRAM on a single computer or a single network system.

3. Limitations.

You are given the following limitations:

• You may not decompile, disassemble, or reverse engineer the PROGRAM.
• The PROGRAM is a single product and may not be separated into its component parts for use on multiple computers or computer networks.
• You may not transfer, rent, copy, modify, or merge the PROGRAM, in whole or in part, except as expressly permitted in this MEEULA.
• You may not reproduce, distribute, or revise the program documentation either in printed, electronic, on-line, or any other form which is included as part of the PROGRAM.
• If you do any of the preceding, this MEEULA will be subject to immediate termination. Such termination will be done automatically, and, shall be in addition to, and not in lieu of, any criminal, civil, or other remedies available to Multi Express Business Systems Inc.

4. Software Transfer.

You are given the following conditions:

• Under no conditions are you granted permission to transfer in part, or in whole any contents of the PROGRAM (including all component parts, the media and printed materials, any upgrades, this MEEULA, and, if applicable, the PROGRAM certification documents).

5. Termination.

You are given the following conditions:

• Without prejudice to any other rights, Multi Express may terminate this MEEULA if you fail to comply with the terms and conditions specified in this agreement. In such event, you must destroy all copies of the PROGRAM and all of its component parts. You must provide Multi Express Business Systems Inc., upon our request, written certification that the PROGRAM in its entirety has been destroyed.
• You may terminate your License and this MEEULA at any time by destroying the PROGRAM and all copies of it in any form.

6. Copyrights.

You are given the following conditions:

• All title and copyrights in and to the PROGRAM (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the PROGRAM), the accompanying printed materials, and any copies of the PROGRAM are owned by Multi Express Business Systems Inc. or its suppliers. Copyright laws and treaty provisions protect the PROGRAM. Therefore, you must treat the PROGRAM like any other copyrighted material except that you may install the PROGRAM on a single computer provided you keep the original solely for backup or archival purposes. You may not copy the printed materials accompanying the PROGRAM.

7. Dual-Format Software.

You are given the following conditions:

• You may receive the PROGRAM in more than one medium. Regardless of the type or size of medium you receive, you may use only one medium that is appropriate for your single computer or single network. You may not use or install the other medium on another computer. You may not loan, rent, lease, or otherwise transfer the other medium to another user, except as part of the permanent transfer (as provided above) of the PROGRAM.

8. Limited Warranty And Remedies.
   You are given the following conditions:

• Multi Express Business Systems Inc. warrants that the PROGRAM will substantially perform the functions or generally conform to the PROGRAM’s specifications published by Multi Express Business Systems Inc. Except as specifically stated in this MEEULA, the PROGRAM is provided licensed "as is", without warranty of any kind, either expressed or implied. Multi Express Business Systems Inc. does not warrant that the functions contained in the PROGRAM will meet your requirements or that the operation of the Program will be entirely error free or appear precisely as described in the Program documentation.
• The remedies below are accepted by you as your only remedies and shall be available to you only if you have been authorized as a Registered Customer (see section VIII. Registration Requirement below for details) for the Multi Express Business & Accounting Program.
• Multi Express Business Systems Inc.’s entire liability and your exclusive remedies are: (This is applicable only to the Standard Package: Multi Express Business & Accounting for Windows 95, Windows 98, and Windows NT. It does not apply to Multi Express Business & Accounting where modifications, customization, or additions have been applied.)
• If the PROGRAM does not substantially perform the functions or generally conform to the PROGRAM’s specifications published by Multi Express Business Systems Inc., you may, within 30 days after delivery, write to Multi Express Business Systems Inc. to make a report. Multi Express Business Systems Inc. will provide a replacement copy mailed directly to you, or through your dealer.
• You have an exclusive 30-day Money Back Guarantee on the purchase of Multi Express Business & Accounting for Windows 95, Windows 98, and Windows NT. The purchase price of the software will be fully refunded within 30 days of purchase providing the PROGRAM is returned in complete form and with a valid proof of purchase receipt.

1. To the maximum extent permitted by applicable law, Multi Express Business Systems Inc. disclaims all other warranties and conditions, either expressed or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, with regard to the PROGRAM, and the provision of or failure to provide support services. This limited warranty gives you specific legal rights.
2. To the maximum extent permitted by applicable law, in no event shall Multi Express Business Systems Inc. be liable for any special, incidental, indirect, or consequential damages whatsoever. This includes without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss arising out of the use of or inability to use the software product. This also includes any provision of or failure to provide support services, even if Multi Express Business Systems Inc. has been advised of the possibility of such damages. However, if you have entered into a Multi Express Business Systems Inc. support services agreement, Multi Express Business Systems Inc.'s entire liability regarding support services shall be governed by the terms of that agreement.
3. If any provision of this MEEULA is held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby.
4. The prevailing party in any action or proceeding brought in connection with a breach of this MEEULA will be entitled to reimbursement by the other party for costs and reasonable attorney’s fees.
5. This MEEULA will be governed by and construed in accordance with the laws of Canada.

• You acknowledge that you have read this MEEULA and by opening the PROGRAM’s package, you indicate your acceptance of the MEEULA’s terms and conditions. You also agree that it is the complete agreement between you and Multi Express Business Systems Inc., and that it supersedes any information you have received relating to the subject matter of the MEEULA.
